RawSource is not responsible for regulatory compliance obligations arising from your use or application of any products you purchase.

3. Product Information and Accuracy

3.1 Informational Purpose

The product information, technical data, application descriptions, SDS references, and market information published on the Site are provided for general informational and marketing purposes only. While RawSource strives to ensure the accuracy and currency of this information, we do not warrant that:

• All product specifications listed on the Site reflect the exact current specifications of available inventory at any given time
• Technical data or application guidance is complete, error-free, or appropriate for your specific end use or formulation requirements
• Product availability or pricing described on the Site reflects real-time inventory or current market pricing

Actual product specifications, pricing, availability, and lead times are confirmed through direct commercial communication with our team. No product information on the Site constitutes an offer to sell or a binding quotation.

3.2 No Warranty on Technical Content

They are not a substitute for professional formulation engineering, regulatory review, or safety assessment. 3.3 Price and Availability

Chemical prices and availability are subject to rapid change due to market conditions, supply disruptions, currency fluctuations, and other factors. Prices listed or referenced on the Site (if any) are indicative only and do not constitute a binding offer. Confirmed pricing is provided only through direct quotation from our commercial team.

4. Quote Requests and Commercial Transactions

4.1 Quote Requests Are Not Orders

Submission of a quote request form or inquiry form through the Site does not constitute a purchase order, binding contract, or commitment to purchase. It is a request for commercial information. A commercial transaction between you and RawSource is only established upon execution of a formal purchase order accepted by RawSource and subject to our applicable terms of sale.

4.2 Terms of Sale

All product sales by RawSource are governed by our separate Terms and Conditions of Sale, which will be provided to you at the time of quotation or order confirmation. In the event of any conflict between these Terms of Use and the Terms and Conditions of Sale applicable to a specific transaction, the Terms and Conditions of Sale shall govern with respect to that transaction.

4.3 Export Control Compliance

RawSource complies with US export control laws and regulations, including the Export Administration Regulations (EAR) administered by the Bureau of Industry and Security (BIS). As part of our compliance program:

• We screen all customers and transactions against applicable restricted party lists prior to completing any sale
• Certain chemicals may require an export license before they can be sold or shipped to certain destinations or end users
• By engaging with RawSource for the purchase of chemical products, you represent and warrant that neither you nor your ultimate end user is a restricted or denied party under applicable export control laws
• You agree to provide accurate and truthful end-use and end-user information when requested in connection with any transaction
• Any false or misleading representations in connection with export compliance may result in immediate termination of any commercial relationship and referral to appropriate government authorities

4.4 Hazardous Materials

Many of the chemicals and ingredients supplied by RawSource are classified as hazardous materials under applicable US DOT, IATA, or IMDG regulations. By purchasing hazardous materials from RawSource, you represent that you: are authorized to receive such materials; have appropriate facilities, storage, and handling procedures in place; and are aware of and will comply with all applicable transportation, storage, handling, and disposal regulations.

5. Intellectual Property

5.1 RawSource Intellectual Property

All content on the Site — including but not limited to text, graphics, photographs, logos, trademarks, product names, data compilations, technical content, article content, design elements, and software — is the property of RawSource Inc. or its content licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

The RawSource® name and logo are registered trademarks of RawSource Inc. Unauthorized use of our trademarks is prohibited.

5.2 Permitted Use of Site Content

You may view, download, and print reasonable amounts of Site content for your own internal business purposes (such as evaluating a product for potential purchase). You may not:

• Reproduce, republish, or redistribute Site content in any form for commercial purposes without our prior written consent

Technical and commercial information you share with RawSource in connection with a sourcing inquiry or formulation project will be treated as confidential and will not be disclosed to third parties except as necessary to fulfill your request (e.g., engaging a supplier to source a specific material). If you require a formal non-disclosure agreement (NDA) in connection with a specific project or commercial discussion, please request one from our team prior to disclosing confidential information.

6. Disclaimer of Warranties

6.1 Site Provided “As Is”

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAWSOURCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY
• PERSONAL INJURY OR PROPERTY DAMAGE (EXCEPT TO THE EXTENT CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT)
• DAMAGES ARISING FROM YOUR RELIANCE ON ANY INFORMATION, PRODUCT DESCRIPTION, OR TECHNICAL CONTENT ON THE SITE
• DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE THE SITE

THESE EXCLUSIONS APPLY REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH DAMAGES ARE CLAIMED AND EVEN IF RAWSOURCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAWSOURCE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE — WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF: (A) USD $100, OR (B) THE AMOUNT PAID BY YOU TO RAWSOURCE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7.3 Jurisdiction-Specific Limitations

Some jurisdictions do not allow the exclusion or limitation of implied warranties or liability for incidental or consequential damages. In such jurisdictions, the exclusions and limitations above apply to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless RawSource Inc. and its officers, directors, employees, agents, affiliates, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your breach of these Terms
• Your use or misuse of the Site or any information obtained from it
• Your violation of any applicable law or regulation, including export control, chemical safety, or environmental laws
• Your infringement of any intellectual property or other rights of any third party
• Any content or information you submit to or through the Site
• Any product purchased from RawSource that is used in an unlawful, negligent, or unsafe manner

These links are provided for convenience only and do not constitute an endorsement by RawSource of the linked sites or their content. 10. Termination and Access Restriction

10.1 Termination by RawSource

RawSource reserves the right, in its sole discretion, to suspend or terminate your access to the Site, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Requests from law enforcement or government authorities
• Technical or security requirements
• Cessation of the Site or services

10.2 Termination by You

You may discontinue using the Site at any time. If you have submitted personal information and wish to have it removed from our records, please submit a data deletion request as described in our Privacy Policy.

10.3 Effect of Termination

Upon termination or suspension of your access to the Site, all licenses and rights granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination — including disclaimers, limitation of liability, indemnification, and governing law — shall survive.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and any dispute arising from or related to your use of the Site shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms.

11.2 Jurisdiction

You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Broward County, Florida, United States, for the resolution of any disputes arising under or in connection with these Terms or your use of the Site. If you are accessing the Site from outside the United States, you consent to jurisdiction in Florida for purposes of any legal action related to these Terms.

11.3 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact RawSource at solutions@rawsource.com to describe the dispute and allow us a reasonable opportunity (30 days) to resolve the matter informally. Many disputes can be resolved efficiently through direct communication, and we encourage this as a first step.

11.4 Waiver of Class Action

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST RAWSOURCE. ANY CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS.

12. Force Majeure

RawSource shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or sanctions, labor disputes, supply chain disruptions, chemical raw material shortages, transportation failures, or failures of telecommunications or internet infrastructure. This clause does not excuse RawSource’s obligation to perform contractual obligations under a separate Terms and Conditions of Sale unless specifically provided for therein.

13. Compliance with Chemical and Environmental Laws

Users of this Site who engage with RawSource for the purchase of chemical materials acknowledge and agree that:

• Chemical products are subject to complex and jurisdiction-specific regulatory requirements governing their purchase, import, storage, handling, labeling, use, and disposal
• It is your responsibility — not RawSource’s — to ensure that your purchase and use of any chemical product complies with all applicable laws in your jurisdiction, including environmental regulations, worker safety regulations, chemical control laws, and industry-specific standards
• RawSource provides Safety Data Sheets (SDS) and technical documentation for products we supply, but such documentation does not substitute for your own regulatory compliance assessment
• You agree to handle, store, transport, and dispose of all chemical products purchased from RawSource in accordance with applicable regulations and the recommendations in the applicable SDS
• Any improper handling, storage, or disposal of chemical materials that results in harm to persons, property, or the environment is the sole responsibility of the party in possession and control of those materials

14. Modifications to These Terms

RawSource reserves the right to update, modify, or replace these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. We may also notify users of significant changes via a site banner or email where contact information is available.

Your continued use of the Site following any posted changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for any updates. If you do not agree to updated Terms, you must discontinue use of the Site.

15. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any applicable Terms and Conditions of Sale, constitute the entire agreement between you and RawSource with respect to your use of the Site and supersede all prior agreements, representations, and understandings.
